1. Overview and Definitions

Welcome to Umedia Agency. These Terms & Conditions govern the digital platforms, filming agreements, and visual master deliverables produced by Umedia Agency Limited (registered number CPR/2016/221544, Nairobi). By interacting with our digital brief forms or agreeing to a television/commercial proposal, you enter a binding contractual layout containing these parameters.

2. Physical Cast and Script Ownership

Unless mutually formulated inside our written agreements, intellectual ownership of physical recordings and custom footage is retained by Umedia Agency Limited until the complete contract billing amount has been settled in full. Customers receive exclusive final broadcasting permissions in perpetuity for the country of Kenya upon full billing closure.

3. Budget Estimates and Payment Schedules

Digital estimates are calculated valid for exactly 30 days from formulation. Postponements or physical delays on active filming sets triggered by customer actions may result in regional administrative adjustments to compensate actors and field crew resources.

4. Limitation of Liability

We do not guarantee specific marketing metrics, sales increases, or immediate user reactions to any media asset. All campaigns are structured in ultimate good faith as state-of-the-art cinematic resources.

5. Applicable Jurisdiction

These terms and all adjacent digital services are governed exclusively by the physical laws of the Republic of Kenya. Competent courts inside Nairobi shall hold primary jurisdiction over potential disputes.
